We are convinced that sustainable economic success in a competitive environment is only possible on the basis of integrity and lawful business practices. The main objective of the compliance management system at the ProSiebenSat.1 Group is therefore to permanently anchor integrity and behavior that conforms to guidelines and rules in the consciousness and actions of all employees. In this way, we can prevent legal and regulatory violations and help to prevent them.
Acting responsibly requires attitude and thrives on continuity. We have a set of values that we want to live as a group. We have a social responsibility and take it very seriously - especially through our claim to compliance-compliant behavior in daily business life. We are committed to opinion-forming and the promotion of democracy and use our reach for socially relevant topics.
Compliance Management System
An effective compliance management system (CMS) is the basis of good corporate governance. It sets the tone of how an organization operates and has an impact both internally and in the marketplace in general.
A well-designed, implemented and therefore effective CMS supports the ProSiebenSat.1 Group in demonstrating its commitment to compliance with the relevant laws and regulations not only to third parties but also internally.
In addition to preventing corruption, our CMS focuses in particular on preventing money laundering and terrorist financing, compliance with sanctions & embargoes and data protection regulations. Important tools for implementation are our code of conduct and our whistleblower system.
The central compliance organization is formed by the Compliance Committee and the Group Compliance department, headed by the Chief Compliance Officer (CCO), who are supported in fulfilling their tasks by technical experts from other areas, such as the legal department.
In addition, Unit Compliance Officers (UCO) have been appointed for the group companies, who are responsible for the CMS there and have direct contact with the respective experts. There is a regular exchange between all compliance organization members.
Code of Conduct
Our Code of Conduct gives us orientation and the binding framework - both for dealing with each other and with business partners: inside, customers: inside, suppliers: inside and other third parties. The Code of Conduct is binding for all employees of the ProSiebenSat.1 Group worldwide. The board of directors, management and executives are responsible for actively living out the code of conduct and setting a good example.
That is why there is one for our business partners, customers, suppliers and other third parties conduct of business partners, which is based, among other things, on the Global Compact of the United Nations (UN), the guidelines for multinational companies of the Organization for Economic Cooperation and Development (OECD) and the labor and social standards of the International Labor Organization (ILO).
Whistleblower system
In addition to the code of conduct, the whistleblower system is another important component of the CMS. Our whistleblower system guarantees the greatest possible protection for whistleblowers and those affected. There are several contact points that our employees and external whistleblowers can contact if they suspect possible legal violations and want to point them out. We check every tip and follow it up consistently. The investigations are carried out with the utmost confidentiality. All information will be processed through a fair, expeditious and secure process.
The ProSiebenSat.1 Group is expressly committed to the ban on Discrimination for whistleblowers. Note: donors do not have to fear any disadvantages or other negative consequences if a tip they gave in good faith should turn out to be incorrect.
We ask our employees and external parties to report possible legal violations to us. We would like to provide a large number of contact points and do not limit the type of legal violations to be reported. The following are available to report (possible) legal violations: Group Compliance, the Unit Compliance Officers, the respective HR Business Partners, Corporate Security, the Works Council and Legal Affairs. The first and most important contact for our employees is the direct manager. In addition, employees can of course contact the works council at any time.

You can also use the electronic whistleblower system to receive information if you wish anonymous hand over. Notes can be as Text or voice message be submitted in the language of your choice.
Please make a note of the access data, which will be communicated to you when you submit the notification, as this is the only way you can later access the process and communicate with us (anonymously). Group Compliance will review the notification and, if necessary, forward it to the relevant department within the group for processing.

Complaints about the TV program and our websites
Please note that questions or complaints concerning our TV program or websites should not be raised with the whistleblower office, but with the respective broadcaster – unless these questions or complaints concern matters of criminal law, such as hate crimes, display of anti-constitutional symbols or similar.
